1. Acceptance of Terms

By accessing or using the AgentSMS API (“Service”), you agree to be bound by these Terms & Conditions. If you do not agree, do not use the Service.

2. Description of Service

AgentSMS provides a low-volume SMS API designed for AI agents. The Service allows programmatic sending and receiving of SMS messages subject to volume limits, carrier policies, and applicable law.

3. Eligibility

You must be at least 18 years old and capable of entering into a binding agreement. By using the Service, you represent that you meet these requirements.

4. Account Responsibilities

• You are responsible for maintaining the confidentiality of your API key.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately of any unauthorized use of your API key.
• We reserve the right to suspend or revoke API keys at our discretion.

5. Acceptable Use

You agree not to use the Service to:

• Send unsolicited messages (spam) or messages without proper recipient consent.
• Transmit illegal, harmful, threatening, abusive, or otherwise objectionable content.
• Violate any applicable local, state, national, or international law or regulation, including the Telephone Consumer Protection Act (TCPA) and CAN-SPAM Act.
• Impersonate any person or entity or misrepresent your affiliation.
• Interfere with or disrupt the Service or its infrastructure.
• Exceed the rate limits or volume restrictions of your plan.

6. Rate Limits & Volume

The Service enforces per-key rate limits and daily volume caps. These limits exist to ensure compliance with carrier policies and to maintain service quality. Attempts to circumvent rate limits may result in account suspension.

7. Message Content

You are solely responsible for the content of messages sent through the Service. AgentSMS reserves the right to review and remove content that violates these terms.

8. Intellectual Property

The Service, its original content, features, and functionality are owned by AgentSMS and are protected by applicable intellectual property laws. You retain ownership of content you transmit through the Service.

9. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or that messages will be delivered successfully. Message delivery depends on carrier networks outside our control.

10. Limitation of Liability

To the fullest extent permitted by law, AgentSMS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.

11. Indemnification

You agree to indemnify and hold harmless AgentSMS and its officers, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these terms.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately.

13. Changes to These Terms

We may update these terms at any time. Material changes will be communicated via the email associated with your account. Continued use of the Service after changes constitutes acceptance of the revised terms.

14. Governing Law

These terms are governed by the laws of the State of Delaware, without regard to conflict of law provisions.
